1. Agreement to Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Drgnflai.org ("Company", "we", "us", or "our") concerning your access to and use of the AgentCache.ai website (the "Site") and related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

We reserve the right to modify these Terms at any time. Material changes will be notified via email at least thirty (30) days prior to taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

2. Description of Service

AgentCache.ai provides edge caching infrastructure for artificial intelligence and large language model (LLM) API calls (the "Service"). The Service operates as a caching layer between User applications and third-party LLM providers including but not limited to OpenAI, Anthropic, and similar services.

The Service is designed to reduce latency and costs associated with LLM API calls by storing and retrieving previously executed requests. We make no representations or warranties regarding the availability, reliability, or performance of third-party LLM providers.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

3.2 Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason we deem appropriate in our sole discretion.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service
• To use the Service in any manner that could disable, overburden, damage, or impair the Service
• To use any robot, spider, or other automatic device to access the Service for any purpose without our express written permission
• To circumvent, disable, or otherwise interfere with security-related features of the Service
• To resell, sublicense, or otherwise commercialize the Service without express written permission

4.2 Content Restrictions

You agree not to cache or transmit content that:

• Violates the terms of service of third-party LLM providers (OpenAI, Anthropic, etc.)
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
• Contains illegal, harmful, threatening, abusive, harassing, defamatory, or obscene material
• Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group
• Is fraudulent, false, misleading, or deceptive
• Violates any person's right of privacy or publicity

5. Service Plans and Billing

5.1 Subscription Plans

The Service offers various subscription plans with different features, usage limits, and pricing. Current plans and pricing are available at agentcache.ai/pricing. We reserve the right to modify plans and pricing at any time with thirty (30) days' notice to existing subscribers.

5.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. By providing payment information, you authorize us to charge all fees incurred through your account. All payments are processed through Stripe, Inc., a third-party payment processor.

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account dashboard.

5.4 Refund Policy

All fees are non-refundable except as required by applicable law. We do not provide refunds or credits for partial months or unused service. If we terminate your account for cause, you will not be entitled to any refund.

5.5 Taxes

You are responsible for all applicable taxes. If we are required to collect or pay taxes on fees charged to you, such taxes will be invoiced to you as part of your subscription fee.

6. Service Usage Limits

Each subscription plan includes specific usage limits (e.g., number of API requests, cache storage, bandwidth). Usage limits are detailed in your account dashboard and at agentcache.ai/pricing.

6.1 Rate Limiting

We implement rate limiting to ensure fair usage and system stability. Rate limits vary by subscription plan. Exceeding rate limits may result in temporary request throttling or rejection.

6.2 Quota Exceeded

If you exceed your plan's usage quota, additional requests will be blocked until: (a) your quota resets at the beginning of the next billing period, or (b) you upgrade to a higher plan with increased limits.

7. Intellectual Property Rights

7.1 Service Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Drgnflai.org and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

7.2 User Content

You retain all rights to content you cache through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, cache, and transmit User Content solely for the purpose of providing the Service to you.

7.3 Feedback

Any feedback, comments, or suggestions you provide regarding the Service ("Feedback") will become our sole property. We may use Feedback for any purpose without obligation to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at agentcache.ai/privacy.html, which is incorporated into these Terms by reference.

8.1 Data Storage

Cached content is stored encrypted and automatically deleted after the retention period specified in your request (default: seven (7) days). We do not use cached content for training, marketing, or any purpose other than providing the Service.

8.2 Data Security

We implement industry-standard security measures to protect your data, including TLS 1.3 encryption in transit and AES-256 encryption at rest. However, no security system is impenetrable, and we cannot guarantee the absolute security of your data.

9. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Technical difficulties or outages
• Acts beyond our reasonable control (force majeure)
• Security incidents requiring immediate action

We will make reasonable efforts to provide advance notice of scheduled maintenance. In the event of Service unavailability, the Service includes automatic failover mechanisms to route requests directly to LLM providers.

Service Level Agreement (SLA): For paid plans, we target 99.9% uptime calculated monthly, excluding scheduled maintenance windows. SLA credits, if applicable, are detailed in your subscription agreement.

10. Warranties and Disclaimers

10.1 NO WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 Disclaimer

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Defects in the Service will be corrected
• Third-party LLM providers will remain available or functional

10.3 Third-Party Services

The Service integrates with third-party LLM providers (OpenAI, Anthropic, etc.). We are not responsible for the availability, accuracy, quality, or legality of content provided by these third-party services. Your use of third-party services is subject to their respective terms of service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DRGNFLAI.ORG, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, or data
• Business interruption
• Loss of goodwill or reputation
• Cost of procurement of substitute goods or services
• Any other intangible losses

This limitation applies regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Drgnflai.org, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit, post, or transmit through the Service
• Any willful misconduct by you

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Drgnflai.org maintains its principal place of business, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@agentcache.ai to attempt informal resolution. We will attempt to resolve the dispute informally within sixty (60) days.

13.3 Arbitration Agreement

If informal resolution fails, any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator and shall take place virtually or in a location mutually agreed upon by the parties.

13.4 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13.5 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND DRGNFLAI.ORG INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

14. Termination

14.1 Termination by You

You may terminate your account at any time by accessing your account settings or contacting us at support@agentcache.ai. Termination will be effective at the end of your current billing period. You will not receive a refund for any unused portion of your subscription.

14.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

• Your right to access and use the Service will immediately cease
• All data associated with your account, including cached content, will be deleted within seven (7) days
• You remain liable for all fees accrued prior to termination
• Sections of these Terms that by their nature should survive termination shall survive

14.3 Data Retrieval

Upon termination, you have seven (7) days to export any data you wish to retain. After this period, we will permanently delete all data associated with your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Drgnflai.org regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, fuel, energy, labor, or materials.
